Terms of Service

PediaNex is currently in early access: it is actively used in daily clinical operation at its founding clinic and is being opened up to a small number of additional clinics. These terms apply to anyone using the website or the application, including clinic staff, doctors, and parents/guardians using the parent portal.
1. Acceptance of these terms
By accessing pedianex.co.in or using the PediaNex application, you agree to these Terms of Service and our Privacy Policy. If you are agreeing on behalf of a clinic or organization, you confirm you have authority to bind that organization to these terms.
2. Who operates PediaNex
PediaNex is operated by Aaditya Bhatnagar, an individual/sole proprietor trading as "PediaNex," based in Rajasthan, India ("PediaNex," "we," "us").
Note on business registration: PediaNex is not currently a registered company. Operating as an unregistered sole proprietorship is legal in India for most software businesses, but it means there is no corporate shield between the business and you personally — if a claim is ever brought (e.g. over a data breach or a clinical-data error), your personal assets are not protected the way they would be under an LLP or private limited company. Given this platform stores children's health records, that is a real exposure, not a formality. Before onboarding clinics beyond the founding one, strongly consider: (1) at minimum, Udyam/MSME registration as a sole proprietor, so there's a documented business identity for contracts and grievance-officer purposes, and (2) incorporating an LLP or private limited company, which is the standard structure for liability protection once you're handling other people's patient data commercially. Get this reviewed by a CA or company-secretary alongside the legal review of this document.
3. The service, and its current stage
PediaNex is pediatric EMR software providing patient check-in, growth charting, vaccination tracking, prescription generation, certificate generation, and a parent portal. The product is in early access. Features, pricing, and terms may change as we move from single-clinic use to a broader multi-practice product, and we will make reasonable efforts to notify active clinics of material changes.
4. Eligibility and accounts
- Clinic accounts are created for licensed healthcare providers and their authorized staff.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must notify us promptly of any unauthorized use of your account.
- The parent portal does not require an account; access is granted using a patient ID and date of birth provided by the clinic. Parents are responsible for keeping this information confidential, as it grants access to their child's records.
5. Acceptable use
You agree not to:
- Enter data for a patient you are not authorized to treat or access records on behalf of
- Attempt to access another clinic's data, or another patient's records outside your authorized scope
- Use the platform to store or transmit anything unlawful, or in a way that violates applicable medical records or data protection law
- Attempt to reverse-engineer, scrape, or interfere with the platform's normal operation
- Share parent-portal access credentials (patient ID + date of birth) with anyone other than the child's parent/guardian
6. Clinical responsibility — important
PediaNex is a record-keeping and workflow tool. It is not a substitute for clinical judgment. Growth-chart percentiles, vaccination due/overdue flags, and any other automated calculations are provided to assist, not replace, the treating doctor's own assessment. The treating clinic and doctor remain solely responsible for all diagnoses, treatment decisions, prescriptions, and the clinical accuracy of information entered into the system. PediaNex does not practice medicine and assumes no responsibility for clinical outcomes.
7. Data ownership and export
Patient records entered by a clinic remain that clinic's data. PediaNex processes this data solely to provide the service, as described in our Privacy Policy. A clinic may request an export of its data and/or account closure at any time, subject to any applicable legal retention requirements for medical records.
We will never withhold a clinic's records. Producing a complete structured export is manual work carried out on request, and a one-time export fee applies in one situation only: where a clinic took part in the free two-month trial and chose not to continue on a paid plan at the end of it. In that case we will confirm the exact amount in writing before beginning any work, and the clinic may decide at that point whether to proceed.
Clinics on a paid plan are never charged for an export, during their subscription or on termination. All clinics retain ordinary day-to-day access to their records within the application at no additional charge for as long as their account is active.
8. Fees
Current pricing is available on our Pricing page. Any clinic-specific pricing will be confirmed in writing (e.g. during the walkthrough process) before billing begins.
9. Availability and support
We aim to keep the service available and will make reasonable efforts to notify clinics of planned maintenance. As an early-access product, occasional downtime or feature changes should be expected. Support is currently provided via WhatsApp.
10. Termination
Either party may terminate a clinic's use of the service at any time. On termination, we will make reasonable efforts to provide a data export within a reasonable period, subject to any applicable legal retention obligations for patient health records and to the export terms in Section 7.
11. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law. As an early-access product, we do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose beyond what is described in Section 6 above.
12. Limitation of liability
To the maximum extent permitted by applicable law: PediaNex shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the service, including loss of profits, data, or goodwill. PediaNex's total liability arising out of or relating to the service, however caused, shall not exceed the total fees paid by the clinic to PediaNex in the twelve (12) months preceding the claim. This limitation does not apply to damages caused by PediaNex's gross negligence, willful misconduct, or fraud, and does not limit either party's liability where such limitation is not permitted by applicable law.
13. Indemnification
You agree to indemnify and hold PediaNex harmless from claims arising out of your misuse of the service, your violation of these terms, or your violation of any applicable law, including healthcare or data-protection law.
14. Governing law
These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Ajmer, Rajasthan.
15. Changes to these terms
We may update these terms as the product evolves. Material changes will be reflected here with an updated "Last updated" date, and we will make reasonable efforts to notify active clinics directly.
